Hi all,

I want to create a startup project with a friend.
We are living in Thailand, he's canadian and i'm french.
To protect each other (in case of problems between us in the future) we want to sign a partnership agreement and create a company with 50% / 50 % share.
The purpose is not yet to make some money with this company, but to define the shares and the duties. if the startup project work we will create the company somewhere else.

The easiest way to create quickly a company for cheap seems to be in USA, in Nevada or Delaware state, using some websites that Tim recommend, like www.legalzoom.com or www.corporatecreations.us

My questions :

• Do you think it's a good idea in our situation ? Do you know better way for making a partnership and define the share in a project ?

• How can we create a company as foreigners without having an adress in USA ?
We need a registered agent to create a company in Nevada or delaware as we are foreigners, but I cannot find on legalzoom or corporatecreation websites a way to have the LLc creation + registered agent without having to give an adress in USA.
Do you know how to do it ?
Or do you know how another reliable service which propose it ?

Thanks !
Vincent
